This agreement is designed to allow us to use user-generated content in a legally safe way. We will be able to use your submissions, and that’s it - we are not the type of company that is trying to unfairly scam you out of your rights (they exist, too)! You will still own your content, will continue to be able to post and use your own content freely and can even revoke the license at any time. Fair and square!

By submitting video, audio, images, text, or any other media or combination of media (“Content”) you are agreeing to the following terms & conditions:

DEFINITIONS

Licensee to this agreement is Nature is Metal GmbH and its successors, affiliates, licensees and assigns (collectively “Nature is Metal”).

Licensor is You, who submits the Content to Nature is Metal and/ or the Owner(s) of the Content, who has granted you the permission to close the license agreement as following in their stead or as a licensee (“You”).

“Content” is the visual and/ or audible file You submit to https://www.natureismetal.com/ by uploading at the present date and time.

RIGHTS TO CONTENT

You represent and warrant to Nature is Metal that you either own all rights to the Content, or that you have obtained all required clearances and paid all monies necessary for any intellectual property owned by third parties, to submit the Content under the terms stated in this License. Furthermore, you warrant that you are not aware of any existing, anticipated or threatened claims or litigation in relation to the Content. 

You acknowledge and understand that if you do not own all the rights or permissions to submit the Content, this could result in serious consequences, for which Nature is Metal will hold you accountable. 

LICENSE

By submitting Content you are granting to Nature is Metal a worldwide and unlimited, non-exclusive, royalty-free, sub-licensable and transferable license to use the Content (“License”), which includes:

• displaying, broadcasting, distributing, reproducing, publishing, or otherwise exploiting the Content and derivatives through any and all methods, means, platforms and technologies currently known or invented in the future (Publishing Rights).

• creating any derivative work including through adaptation, translation, modification, rearrangement, adding to or subtracting from the Content, or including the Content in any compilation of other Content (Derivative Works).

You understand and agree that you are not entitled to any payments from Nature is Metal for any of the uses of the Content.

Nature is Metal hereby accepts such License and agrees that Nature is Metal shall not use the Content except in accordance with the terms and conditions of this Agreement.

PRIOR AND FUTURE LICENSES

You guarantee that you have not granted any license or entered into any agreement that encumbers, limits, prevents or otherwise impairs the granting of this License to Nature is Metal. 

You may still grant other licenses of the Content to other parties. However, you agree that you will not grant any license or enter into any agreement that purports to encumber, limit, extinguish or otherwise impair this License to Nature is Metal. If any later agreement contradicts this agreement, this agreement shall prevail.

OWNERSHIP

Nature is Metal will not own the Content. You, or the owner(s) of the Content, shall continue to own the Content.

Nature is Metal may display your name, acronym, social media handle or any chosen alternative in immediate proximity to the Content.

TERMINATION

You can terminate this license to Nature is Metal at any time. To terminate the license, send us an email at licensing@natureismetal.com. However, the license will continue for a commercially reasonable period after the termination. Furthermore, any and all usage of the Content (including, but not limited to, physical reproductions, granted sublicenses, posts on social media or as part of a compilation or produced show) prior to termination of this agreement shall survive termination.

INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless Nature is Metal, its related bodies corporate and its officers, employees, directors and shareholders, from and against any and all claims, costs, proceedings, demands, losses, damages and expenses (including reasonable legal professional fees and costs) of any kind or nature, including any arising from, out of, in connection with, or relating to this Agreement and any infringement arising from or related to the Content.

This indemnity survives any termination of this Agreement.

SEVERABILITY

If any provision of this Agreement is illegal and unenforceable in whole or in part the remainder of this Agreement shall remain enforceable to the extent permitted by law.

ELECTRONIC SIGNATURE AGREEMENT

You agree that checking the button to accept this agreement and uploading the Content is the legal equivalent of your manual signature on this License.
